United Internet wants to increase 1&1 share to 90% – offer for shareholders!

United Internet is planning to significantly expand its stake in 1&1 AG. The company has announced a voluntary public purchase offer for the shares of 1&1 at a price of 18.50 euros per share. United Internet currently holds around 80.81 percent of 1&1's share capital. With this offer, the company aims to increase its shareholding to up to 90 percent and thus consolidate the majority of voting rights.

In a further step, United Internet plans to acquire up to 16,250,827 shares as part of this offer, which corresponds to approximately 9.19 percent of the total share capital of 1&1. The offer comes with a premium of around 20 percent compared to the closing price on the Xetra exchange from the previous day. This represents an even larger premium of approximately 29 percent compared to the volume-weighted average price over the past three months.

Strategic goals and shareholder structure

A central objective of the acquisition offer is to create a stable shareholder structure, which is considered important for future investments, particularly in the expansion of the 1&1 mobile network. It is important to United Internet to maintain a free float of at least 10 percent in order to facilitate stock market trading.

United Internet exceeded the 80 percent ownership threshold in 1&1 AG in April 2025, which underlines this step to consolidate control as significant. However, no plans for a control and/or profit transfer agreement, delisting or squeeze-out have been announced.

Regulatory conditions

The offer is subject to approval by the Federal Financial Supervisory Authority (BaFin). As announced, further information and the offer document will be published on the United Internet website. It is still unclear what the market reaction to this news will be and what steps potential interested parties will take to sell parts of their shareholdings.
